
Partner Agreement
This Partner Agreement (the “Agreement”) is entered into between:
Nomadly Travel Network, a platform owned and operated by Nomadly, hereinafter referred to as “Nomadly,”
AND
[Supplier Name], hereinafter referred to as the “Partner.”
Nomadly and the Partner may collectively be referred to as the “Parties.”
1. DEFINITIONS
1.1 Open Supplier
An Open Supplier is a non-exclusive partner who may offer products/services on the Nomadly platform while maintaining the right to work with other platforms or distributors.
1.2 Exclusive Supplier
An Exclusive Supplier agrees to work solely with Nomadly within a defined market or product scope and grants Nomadly exclusive rights to distribute or promote their offerings.
2. SCOPE OF PARTNERSHIP
2.1 Product/Service Inclusion
The Partner agrees to provide access to travel-related products or services (e.g., accommodations, activities, guides, transport) to be listed and distributed through Nomadly.
2.2 Listing Requirements
The Partner shall maintain accurate and up-to-date information on pricing, availability, photos, and service descriptions on the Nomadly platform.
3. TERM & TERMINATION
3.1 Term
This Agreement begins on the Effective Date and remains in effect unless terminated in writing by either party with 30 days’ notice.
3.2 Termination for Cause
Either party may terminate this agreement immediately for breach of terms, misuse of platform, non-performance, or reputational harm.
4. PARTNER CATEGORIES
4.1 Open Supplier Terms
Commission rates: 15% of each confirmed booking.
Partner retains control over pricing.
No exclusivity obligation.
Non-binding marketing collaboration.
4.2 Exclusive Supplier Terms
Commission rates: 10%
Nomadly is the sole distributor within Europe.
Joint branding and promotion opportunities.
Priority placement in search, marketing, and campaigns.
Exclusive suppliers agree not to list the same offerings with competing platforms in the defined territory without prior written approval.
5. COMMISSION & PAYMENTS
Payments are made monthly, within 5 to 7 business days after the month-end, based on completed and verified bookings.
Commission is deducted at source or invoiced separately, depending on arrangement.
Disputes must be submitted in writing within 14 days of payout.
6. QUALITY & SERVICE LEVELS
Partner must maintain a minimum rating of 4 Stars from customer feedback.
All services must comply with local regulations, safety standards, and ethical tourism practices.
Partner must respond to inquiries and booking confirmations within 24 hours unless otherwise agreed.
7. MARKETING & BRAND USAGE
Partner grants Nomadly the right to use brand names, logos, and content in marketing campaigns.
Exclusive Suppliers agree to co-branded promotions and may be invited to participate in joint campaigns or trade events.
8. CONFIDENTIALITY
Both parties agree to keep confidential any sensitive business, pricing, or customer information received in connection with this Agreement.
9. LIABILITY & INSURANCE
Partner shall maintain appropriate insurance and assume full liability for their services. Nomadly acts only as a facilitator and shall not be held responsible for service execution.
10. GOVERNING LAW
This Agreement shall be governed by the laws of Europe & Asia , and any disputes shall be settled in the courts of Malta.
